The parties agree as follows: 1. APPOINTMENT McZeal Robotics appoints Partner as a independent sales agent on a non-exclusive basis solely to identify prospects, introduce approved McZeal Robotics solutions, support discovery meetings, and assist the company sales process. Partner may perform only the activities expressly authorized by McZeal Robotics in writing. 2. TERRITORY AND ACCOUNTS Partner's activity is limited to United States unless expanded by written company approval. McZeal Robotics reserves all rights to house accounts, direct accounts, house territories, strategic accounts, government accounts, and any account or territory it decides to manage directly. 3. PRODUCTS AND SERVICES COVERED This Agreement may apply to approved robotics products, AI software, service subscriptions, teleoperation services, training programs, dealer offerings, support plans, and other McZeal Robotics solutions that the Company authorizes Partner to promote. Product availability, pricing, specifications, implementation scope, and delivery terms may change at any time. 4. COMPENSATION commissions are earned only on collected funds from approved transactions and are governed by the final written commission schedule approved by McZeal Robotics. The current compensation reference for this draft is: Standard approved commission schedule. No commission, margin, referral fee, bonus, recurring payment, or other compensation is earned unless the applicable transaction is approved by McZeal Robotics, properly documented, invoiced, fully collected, and not later reversed, refunded, charged back, canceled, or written off. 5. PARTNER DUTIES Partner will present offerings accurately, use only approved pricing and materials, protect the McZeal Robotics brand, keep prospect information current, document lead activity when requested, and support a professional handoff to Company personnel for demos, contracting, deployment, and support. 6. NO AUTHORITY TO BIND THE COMPANY Partner is not an employee, officer, franchisee, joint venturer, legal representative, or agent with authority to bind McZeal Robotics. Partner may not sign contracts on behalf of the Company, alter pricing, make warranties, accept unauthorized payments, promise delivery dates, approve credits, or create obligations unless McZeal Robotics gives prior written approval. 7. COMPLIANCE AND REPRESENTATIONS Partner will comply with all applicable laws, marketing rules, export restrictions, privacy requirements, public-safety restrictions, industry regulations, and Company policies. Partner may not make unapproved claims relating to legal, medical, aviation, security, law-enforcement, financial, or regulated outcomes. Any customer-facing statement must remain consistent with approved McZeal Robotics materials. 8. CONFIDENTIALITY AND INTELLECTUAL PROPERTY All pricing, product roadmaps, non-public specifications, customer information, training content, portal materials, software information, videos, documents, and business methods provided by McZeal Robotics are confidential. All trademarks, copyrights, trade dress, software, content, documents, and marketing materials remain the sole property of McZeal Robotics or its licensors. 9. NON-CIRCUMVENTION AND ACCOUNT PROTECTION Partner will not circumvent McZeal Robotics in connection with approved opportunities, misuse confidential information, redirect prospects to unauthorized alternatives using Company materials, or interfere with existing Company relationships. Account ownership, lead credit, territory credit, and compensation credit are determined solely by McZeal Robotics records and approvals. 10. TERM, SUSPENSION, AND TERMINATION This Agreement begins on the date of final countersignature and continues until until terminated in accordance with this Agreement. McZeal Robotics may suspend access to portals, pricing, materials, or partner benefits immediately for compliance concerns, inactivity, misrepresentation, payment disputes, policy violations, reputational risk, or any conduct the Company believes may harm its operations or brand. 11. EFFECT OF TERMINATION Upon termination, Partner must stop representing itself as authorized, stop using Company materials except as expressly permitted, return or delete confidential materials on request, and cease any conduct that could imply continuing authority. McZeal Robotics may withhold or offset disputed compensation until account status, collections, refunds, and chargebacks are resolved. 12. GENERAL TERMS This document is a draft for internal use and partner preparation. Final legal effect requires Company review, any required edits, formal approval, and countersignature by McZeal Robotics. Additional schedules, territory addenda, pricing exhibits, compliance attachments, and commission schedules may be attached and will control where applicable. This Agreement will be governed by the laws of the State of Texas, and the parties agree that the exclusive jurisdiction and venue for any dispute relating to this Agreement will be in Harris County, Houston, Texas, unless McZeal Robotics approves otherwise in writing. 13. ACKNOWLEDGMENT By proceeding to signature, Partner acknowledges that it has reviewed this draft, understands that independent contractor status applies, and agrees that only the final Company-approved version governs the relationship.
